The ownership controversy began just before Christmas, during an extraordinary general meeting held at GYSEV's Népfürdő Street branch.

Representing Hungary with a 71.8 percent shareholding, and Austria with a 28.2 percent stake, discussions centered around a proposed capital increase.

Hungary planned to contribute HUF 890 million, while Austria intended to invest HUF 350 million, maintaining their existing share proportions post-acquisition of Strabag's shares by Hungarian interests.

Concerns arose among Austrian representatives regarding separate voting on capital injections, as they preferred a unified agenda point.

The Hungarian side, represented by officials from the Ministry of Construction and Transportation, including Deputy State Secretary Tamás Bartal, opposed this request.

Following the approval of the Hungarian capital increase, the Austrian proposal was rejected, altering the ownership ratio.

Consequently, Hungary's stake increased to 75.0101 percent, crossing a threshold that grants it a decisive majority.

Austria's share decreased minimally to 24.9899 percent, but enough to lose significant controlling power.

Previously, Austria had indicated a desire to preserve its ownership proportion, a sentiment expressed during prior negotiations.

The shift not only rebalances power in the railway company but also casts uncertainty over future Austro-Hungarian collaboration in the joint venture.

The move also led to personnel changes within the organization, with the majority shares of GYSEV's freight subsidiary transferred to Waberer's Nyrt., a company linked to István Tiborcz, adding another layer to the unfolding corporate landscape.

This structural realignment in GYSEV highlights broader strategic considerations concerning corporate governance and national interests in binational enterprises.
